We try to correctly portray product colors, features, specs, and data on the Services. However, we cannot guarantee that the colors, features, specs, and details of the items will be accurate, comprehensive, reliable, current, or error-free, and your electronic display may not correctly represent them. All goods are subject to availability and cannot be guaranteed. We may withdraw items for any reason. Prices for all goods may change.

You promise to provide current, full, and accurate purchase and account information for all Services transactions. You also promise to immediately update account and payment information, including email address, payment method, and credit card expiry date, so we can complete your transactions and contact you. We will apply sales tax to transactions as needed. We may alter pricing anytime. All payments are USD/EURO/GBP/MAD.

You authorize us to bill your payment provider for all charges at the then-current pricing for your goods and any applicable shipping costs upon making your order. Even after receiving payment, we maintain the right to remedy price inaccuracies.

We may reject any Services order. We have the right to restrict or cancel amounts by person, home, or order. These limits may include orders from the same customer account, payment method, or billing or delivery location. We may restrict or ban orders from dealers, resellers, or distributors at our discretion.

7. Disallowed Activities

The Services may only be used for the reason we provide them. Except for our allowed commercial uses, the Services may not be utilized.

Users of the Services agree not to:

In order to steal passwords or other sensitive account information, deceive us and other users.

Unless allowed by law, interpret, decompile, disassemble, or reverse engineer any Services software.
Use, launch, develop, or distribute any automated system, including any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or any unauthorized script or other software, except as may result from standard search engine or Internet browser usage.
Consider using a buying agent for Services transactions.
Unauthorized use of the Services includes gathering usernames and email addresses for unsolicited email or establishing user accounts automatically or fraudulently.

8. User-Generated Donations

Content submission and posting are not available on the Services. You may submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including text, writings, video, audio, photographs, graphics, comments, suggestions, personal information, and other material ('Contributions'). Others may see Contributions on the Services and third-party websites. Thus, any Contributions you provide may be processed as per the Service Privacy. Your Contributions do not degrade, intimidate, or abuse others.
Your Contributions are not utilized to harass, threaten, or incite violence against anybody.
You don't break any laws with your Contributions.
Your Contributions do not breach third-party privacy or publicity rights.
Your Contributions do not break child pornography laws or other laws protecting kids.
You do not make insulting racial, nationality, gender, sexual orientation, or other statements.
Your Contributions do not breach these Legal Terms or any relevant law or regulation.

Use of the Services in violation of these Legal Terms may result in termination or suspension of the Services and your Service use privileges.

9. Contribution License

You and Services agree that we may access, store, process, and utilize your personal data in accordance with the Privacy Policy and your preferences.

You consent to our usage and sharing of your Service feedback without remuneration.

No ownership claim exists on your Contributions. You control your Contributions and any intellectual property or proprietary rights connected with them. Your assertions or representations in your Contributions on the Services are not our responsibility. Your Services Contributions are exclusively your responsibility, and you undertake to exonerate us from any liability and desist from legal action against us.

10. Review Guidelines

We may provide review or rating sections on the Services. You must have firsthand experience with the person/entity being reviewed; (2) your reviews should not contain offensive profanity, abusive, racist, offensive, or hateful language; (3) your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability; and (4) your reviews should not contain references to certain private matters.

We may approve, reject, or delete reviews at our discretion. We have no duty to check or remove reviews, even if they are offensive or false. We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including reporting such user to law enforcement authorities; and (3) refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of.

You agree that we are not liable for any loss, damage, or annoyance caused by your inability to use the Services during downtime or discontinuation. These Legal Terms do not require us to maintain and support the Services or provide any corrections, updates, or releases.

15. Governing Law

French law governs and interprets these Legal Terms, and the UN Convention on Contracts for the International Sales of Goods is explicitly excluded. You are protected by mandatory laws in your country of residence if you live in the EU as a consumer. Supply4Industry and you agree to submit to the non-exclusive jurisdiction of Paris' courts, so you may defend your consumer protection rights under these Legal Terms in France or your EU country.

16. Resolution of Disputes

Unofficial Negotiations

To quickly resolve and manage the expense of any disagreement, controversy, or claim connected to these Legal Terms (each a 'disagreement' and collectively the 'Disputes') initiated by you or us (individually, a 'Party' and collectively, the 'Parties'), the Parties agree to first discuss any Dispute (save those specifically stated below) informally for at least 30 days before beginning arbitration. Informal discussions begin with a written communication from one party to the other.

Binding Arbitration

Any disagreement between the Parties to these Legal Terms will be decided by one arbitrator appointed in accordance with the Arbitration and Internal Rules of the European Court of Arbitration, part of the European Centre of Arbitration in Strasbourg, which are in effect at the time the arbitration application is submitted. Arbitration will take place in Paris. The language proceedings will be French. French substantive law applies.

Restrictions

The Parties agree to arbitrate only their separate disputes. To the full extent permitted by law:

No arbitration shall be joined with any other proceeding.
No Dispute shall be arbitrated on a class-action basis or use class action procedures.
No Dispute shall be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The parties agree that the following Disputes are not subject to the above provisions regarding informal negotiations and binding arbitration:

Any Disputes seeking to enforce or protect, or concerning the validity of, a Party's intellectual property rights.
Any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use.
Any claim for injunctive relief. If this clause is found to be illegal or unenforceable, neither Party will elect to arbitrate any Dispute falling within that portion of this provision, and the Parties agree to submit to the personal jurisdiction of a court of competent jurisdiction within the courts listed for jurisdiction above.

17. Corrections

The Services may include typographical mistakes, inaccuracies, or omissions in descriptions, price, availability, and other information. We retain the right to rectify mistakes, discrepancies, and omissions and modify or update Services information without notice.

18. DISCLAIMER

The services are provided as-is and as-available, and you agree that your use of them is at your exclusive risk. To the fullest extent permitted by law, we disclaim any warranties, express or implied, in the services. Connection with the services and your use thereof, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties or representations about the accuracy or completeness of the services' content or any websites or mobile applications linked to the services. We will not be liable for any:

Errors, mistakes, or inaccurate information.
Any unauthorized access to or use of our secure servers and/or any and all personal information resulting from your access to and use of the services.
Information or financial information stored therein.
Any interruption or cessation of transmission to or from the services.
Any bugs, viruses, trojan horses, or the like transmitted by any third party.
Any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of posting, transmitting, or otherwise making available via the services.

We do not warrant, endorse, or guarantee any third-party product or service advertised or offered through the services, any hyperlinked website, or any website or mobile application featured in any banner or other way advertising, and we will not participate in or monitor any transaction between you and any third-party product or service providers.

19. LIABILITY LIMITS

Neither we nor our directors, employees, or staff will be liable for any direct, indirect, consequential, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages from your use of the services, even if we have been advised of the possibility of such damages.

20. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

Use of the Services;
Breach of these Legal Terms;
Any breach of your representations and warranties; and
Despite the above, we retain the right, at your cost, to take the exclusive defense and control of any matter for which you are obligated to indemnify us, and you agree to cooperate with our defense. Upon discovery, we shall make reasonable steps to inform you of any claim, action, or process subject to this indemnity.

We shall save data you send to the Services and your usage of the Services to manage their operation. We backup data regularly, but you are responsible for any data you transfer or use the Services for. We are not liable for any loss or corruption of such data, and you waive any right of action against us.

22. ELECTRONIC TRANSACTIONS, SIGNATURES, AND COMMUNICATIONS

Electronic communications include visiting the Services, emailing us, and completing online forms. You consent to receiving electronic communications and agree that any agreements, notices, disclosures, and other communications we provide you via email and on the Services meet any legal need that they be in writing. You waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction that require an original signature, delivery or retention of non-electronic records, or payments or credit grants by non-electronic means.

24. MISCELLANEOUS

We and you agree to these Legal Terms and any policies or operating regulations placed on the Services or related to the Services. Our failure to execute or enforce any right or condition of these Legal Terms does not waive it. Legal Terms apply to the maximum extent allowed by law. We may transfer our rights and duties at any moment. We are not liable for any loss, damage, delay, or failure to act beyond our reasonable control. A clause that is illegal, invalid, or unenforceable is severable from these Legal Terms.

This does not impact other clauses' validity and enforceability. You and us have no joint venture, partnership, employment, or agency relationship based on these Legal Terms or the Services. By drafting these Legal Terms, you agree not to have them interpreted against us. You waive any defenses based on the electronic form of these Legal Terms and the parties' lack of signature.
